Guoxuan High-Tech expands external guarantees for subsidiaries' financing

Guoxuan High-Tech Co., Ltd. recently signed multiple external guarantee agreements with various financial institutions to facilitate financing for its subsidiaries. These guarantees, totaling RMB 5,138,244.02m, are primarily for wholly-owned and controlled subsidiaries. Beneficiaries include Hefei Guoxuan High-Tech Power Energy Co., Ltd., Jiangsu Guoxuan New Energy Technology Co., Ltd., Nanjing Guoxuan Battery Co., Ltd., Nanjing Guoxuan New Energy Co., Ltd., Yichun Guoxuan Battery Co., Ltd., Qingdao Guoxuan Battery Co., Ltd., Tangshan Guoxuan Battery Co., Ltd., Inner Mongolia Guoxuan Zero Carbon Technology Co., Ltd., Western Guoxuan (Inner Mongolia) Technology Co., Ltd., and Jiangsu Dongyuan Electric Appliance Group Co., Ltd. The guarantees are mainly in the form of joint and several liability.

The aggregate external guarantee amount by the company and its holding subsidiaries stands at RMB 8,518,440.63m, with a guarantee balance of RMB 5,138,244.02m, representing 171.87% of the company's net assets as audited for 2024. Guarantees provided to external parties (not consolidated within the group) amount to RMB 57,888.00m, with a balance of RMB 38,784.00m, accounting for 1.30% of the company's 2024 audited net assets.

All external guarantee matters fall within the scope of the RMB 900.00bn external guarantee limit approved by the company's Ninth Board of Directors Twelfth Meeting and the 2024 Annual Shareholders' Meeting on April 24, 2025, and May 28, 2025, respectively. The company confirms that all necessary approvals and legal procedures have been followed, with no overdue guarantees or pending litigations.
