Pharmaron adds employee representative director, completes board formation

Pharmaron Beijing Co., Ltd. announced that at its employee representative meeting on December 18, 2025, Mr. Li Chengzong was elected as the employee representative director for the company's third board of directors. His term commences on December 18, 2025, and concludes with the expiry of the third board's term. Mr. Li, who serves as the company's chief financial officer and board secretary, will not receive additional remuneration for his role as employee representative director. This election ensures compliance with regulations regarding the number of directors concurrently holding senior management positions and the employee representative director.

The election of Mr. Li Chengzong completes the formation of the third board of directors. The board now comprises executive directors Dr. Boliang Lou (chairman), Mr. Xiaojiang Lou, and Ms. Zheng Bei; employee representative director Mr. Li Chengzong; non-executive directors Mr. Li Jiaqing and Ms. Wan Xuan; and independent non-executive directors Mr. Yu Jian, Ms. Li Lihua, and Professor Zeng Jinfeng. The company's specialized committees, including the Strategy, Audit, Nomination, and Remuneration and Assessment Committees, have also been updated with Professor Zeng Jinfeng's appointment.

These decisions were ratified at the company's first extraordinary general meeting of 2025, held on December 18, 2025, via a combination of on-site and online voting. The meeting also approved revisions to various internal governance documents, including the "Articles of Association" and the "Rules of Procedure for the General Meeting" and "Rules of Procedure for the Board of Directors," with all proposals passing as special resolutions.
