Dabeinong announces board changes, new internal audit principal

Beijing Dabeinong Technology Group announced on December 17, 2025, that Lin Sunxiong resigned from his positions as director, vice president, and internal audit principal, as well as a member of the board's nomination committee, due to other work arrangements. Lin will continue to serve in his other roles within the company. Subsequently, the company's employee representative assembly elected Zhang Jie as an employee representative director, with his term extending until the end of the sixth board of directors.

In related developments, the board approved the appointment of Shao Lijun to the nomination committee, replacing Lin Sunxiong. Zhang Jie was also appointed as the new internal audit principal. These resolutions were passed during the company's 39th (Interim) meeting of the sixth board of directors. Furthermore, a special shareholders' meeting on December 17, 2025, approved several key proposals, including the cancellation of the supervisory board and amendments to the company's articles of association.

Other resolutions approved at the extraordinary general meeting included revisions to the "Rules of Procedure for Shareholder Meetings," "Rules of Procedure for Board Meetings," "Remuneration System for Directors and Senior Management," "Independent Director Work System," and "Measures for the Management of Special Reserve Funds and Use of Raised Funds." Shareholders also approved a guarantee for an associated company and the framework agreement for daily related-party transactions in 2026.
