Zhefu Holding controlling shareholder unpledges significant shares

Zhefu Holding Group Co., Ltd. announced that its controlling shareholder, Tonglu Yuantong Industrial Co., Ltd., has released 60,606,100 pledged shares. This represents 4.62% of Tonglu Yuantong Industrial’s total holdings and 1.16% of Zhefu Holding Group’s total share capital. The pledge, originally established on December 27, 2023, was released on December 15, 2025, with Huatai Securities (Shanghai) Asset Management Co., Ltd. as the pledgee.

Following this release, the cumulative pledged shares of Tonglu Yuantong Industrial stand at 581,509,102 shares, representing 44.32% of its holdings and 11.14% of the company's total share capital. Sun Yi, a major shareholder and acting in concert, has 275,740,000 pledged shares, which is 62.06% of his holdings and 5.28% of the company's total share capital.

As of the disclosure date, the controlling shareholder and parties acting in concert have 536,809,102 pledged shares maturing within the next six months, accounting for 30.56% of their total holdings and 10.29% of the company's share capital, with a corresponding financing balance of CNY 82,400. The company states that the controlling shareholder has the financial capacity to repay these obligations from their own funds, assuring no material impact on the company's control, operations, or governance.
