Winall Hi-Tech Seed to appoint new director, overhaul governance

Winall Hi-Tech Seed’s board of directors held its 28th meeting of the fifth session on December 15, 2025, approving the nomination of Mr. Jiang Yekui as a non-independent director. Mr. Jiang, currently vice president of Syngenta Group China and general manager of China National Seed Group Co., Ltd., will serve until the end of the fifth board term, subject to shareholder approval at the upcoming third extraordinary general meeting on December 31, 2025.

The company also announced significant revisions to its articles of association, including the removal of the supervisory board and transferring its functions to the board's audit committee. This change, along with updates to multiple governance policies such as the shareholders' meeting rules, board of directors' meeting rules, and various committee work guidelines, aligns the company with the latest legal and regulatory requirements. These revisions aim to enhance corporate governance and operational efficiency.

All proposed changes to the articles of association and related governance policies will be submitted for approval at the third extraordinary general meeting on December 31, 2025. Shareholders will have the option to vote in person or via online proxy during specified times on the Shenzhen Stock Exchange.
