VRV Software to increase capital in subsidiary, announces board changes

Beijing VRV Software Co., Ltd. announced a capital increase of RMB 2,000,000 in its controlling subsidiary, Beijing VRV System Integration Co., Ltd. This will result in VRV System Integration holding 10% of Beijing Aichuan Zhisheng Technology Co., Ltd. This is classified as a related party transaction due to common shareholders, including Mr. Lin Hao, the company's actual controller and chairman. The transaction aligns with VRV Software’s strategic development.

Concurrently, VRV Software has completed its board re-election, establishing the sixth board of directors composed of nine members, including Mr. Lin Hao as chairman. Additionally, the company announced the appointment of new senior management personnel, including Mr. Lin Hao as general manager and Ms. Wang Xiaona as executive president and board secretary, with terms commencing on December 15, 2025.

The company also proposed changing its auditing firm from Zhongxingcai Guanghua Certified Public Accountants (Special General Partnership) to Zhongxinghua Certified Public Accountants (Special General Partnership) for the 2025 fiscal year. This change is intended to ensure audit independence and objectivity, with an annual audit fee of RMB 1,350,000.
