Telling Telecommunication Holding streamlines governance, abolishes board of supervisors

Telling Telecommunication Holding is implementing major governance changes, effective December 12, 2025. The company will no longer establish a board of supervisors, with its functions transferred to the audit committee of the board of directors. This move, aligning with the "Company Law" and new regulatory requirements, necessitates the repeal of the "Rules of Procedure for the Board of Supervisors" and amendments to the "Articles of Association" and other related governance policies.

In total, 17 governance documents, including the "Articles of Association," "Rules of Procedure for the Board of Directors," and "Independent Director Work System," have been revised or newly formulated. These revisions aim to enhance governance and protect investor interests by conforming to the latest laws and regulations. Some of these revised documents require approval by the general meeting of shareholders.

To facilitate these changes, the company will hold its third extraordinary general meeting of shareholders on December 30, 2025, at its Beijing headquarters. Shareholders will vote on six proposals related to the governance revisions, including the abolition of the board of supervisors and the amendments to the Articles of Association, the rules of procedure for the board of directors, the independent director work system, the rules of procedure for shareholder meetings, the fair decision-making system for related transactions, and the fundraising management system.
