China Express Airlines guarantees subsidiary Cloudfly Aircraft Leasing loan

China Express Airlines Co., Ltd. announced a new guarantee for its wholly-owned subsidiary, Cloudfly Aircraft Leasing (Shanghai) Co., Ltd. The company signed a "Loan Guarantee Contract" with Shanghai Bank Puxi Branch, guaranteeing the principal amount of RMB 79,410,000 for Cloudfly Aircraft Leasing's domestic seller factoring financing agreement. This guarantee falls within the previously approved limit of RMB 1.7 bn for providing guarantees to wholly-owned subsidiaries, as authorized by the 2024 annual general meeting of shareholders on May 16, 2025.

Prior to this latest agreement, China Express Airlines' outstanding guarantee balance for Cloudfly Aircraft Leasing was RMB 488,113,200. Including the new guarantee, the total actual guarantee balance for Cloudfly Aircraft Leasing now stands at RMB 567,523,200. The remaining available guarantee limit for China Express Airlines and Cloudfly Aircraft Leasing totals RMB 802,190,000.

As of the disclosure date, the cumulative external guarantee balance for China Express Airlines and its subsidiaries is RMB 942,619,800, representing 28.07% of the company's audited net assets as of December 31, 2024. The company and its subsidiaries have no overdue external guarantees or guarantees involved in lawsuits.
