Jingsheng Mechanical & Electrical to elect sixth board of directors

Zhejiang Jingsheng Mechanical & Electrical Co., Ltd. announced the upcoming re-election of its board of directors as the fifth board's term approaches its end. The sixth board will comprise nine directors: five non-independent directors, three independent directors, and one employee representative director. The employee representative director will be elected by the employee representative assembly.

The board of directors' nomination committee has proposed Cao Jianwei, Qiu Minxiu, He Jun, Mao Quanlin, and Zhou Zixue as non-independent director candidates. Wang Jing, Zhao Jun, and Zhang Hongying have been nominated as independent director candidates, with Zhang Hongying designated as an accounting professional. The proposed candidates' qualifications have been reviewed and deemed compliant with relevant laws and regulations, including the "Company Law of the People's Republic of China" and the "Shenzhen Stock Exchange ChiNext Stock Listing Rules."

The company's current independent director candidates, Zhao Jun and Zhang Hongying, possess independent director qualification certificates. Wang Jing, while not yet certified, has committed to attending the necessary training. The eligibility and independence of the independent director candidates are subject to review by the Shenzhen Stock Exchange. Until the sixth board assumes office, the members of the fifth board will continue to fulfill their duties to ensure the company's smooth operation.
