DHC Software streamlines capital accounts, changes auditor, backs subsidiary

DHC Software completed the cancellation of several dedicated raised capital accounts following the successful implementation and conclusion of its "Xinchuang Pengxiao Project." The remaining capital of 12,100 yuan from these accounts has been transferred to the company's general account to permanently supplement working capital, terminating associated regulatory agreements. The initial fundraising, totaling 613,800,000 yuan, supported various projects through multiple banking arrangements, some of which are now consolidated.

In a move to enhance its audit oversight, DHC Software will appoint Beijing Zhongming Guocheng Certified Public Accountants (Special General Partnership) as its auditor for the 2025 financial year, replacing Zhongxingcai Guanghua Certified Public Accountants (Special General Partnership). This change, approved by the board and audit committee, aligns with business development needs, and both audit firms have acknowledged the transition. The engagement fee for the 2025 annual audit will be 1.8 million yuan.

The company also approved a comprehensive credit facility for its controlled subsidiary, Donghua Yiwei Technology Co., Ltd., amounting to 100,000,000 yuan from Bank of Beijing. DHC Software will provide a joint and several liability guarantee for this facility, which is valid for one year from the contract's execution date, with individual transactions not exceeding one year. This guarantee is designed to support the subsidiary's operational needs and is consistent with DHC Software's strategic growth objectives.
