SPIC Dongfang New Energy updates bylaws, appoints new auditor

SPIC Dongfang New Energy announced a revision to its articles of association, reducing the number of articles from 210 to 196 and chapters from 13 to 12. A key change involves transferring the legal duties of the supervisory committee to the audit and risk management committee, aligning with the "Listed Company Articles of Association Guidance (2025)" and improving corporate governance.

The company is also changing its auditor, appointing Shinewing Certified Public Accountants (Special General Partnership) for the 2025-2026 fiscal years, replacing BDO China Shu Lun Pan Certified Public Accountants. This decision follows BDO China Shu Lun Pan's completed term and comprehensive evaluation of Shinewing’s capabilities. Additionally, SPIC Dongfang New Energy provided its 2026 related-party transaction forecasts, which include purchases of raw materials, energy, and services for 15 bn yuan and 40 bn yuan, respectively, and financial services totaling 3 bn yuan.

These changes were approved during the company's board of directors’ thirty-first meeting and the supervisory committee’s twenty-first meeting, held on December 11, 2025. The revised articles of association and the appointment of the new auditor are subject to shareholder approval at the upcoming extraordinary general meeting.
