Sonoscape Medical extends key projects, streamlines governance

Sonoscape Medical Corp. has extended the expected completion dates for two major projects. The "Matsuyama Lake Sonoscape Medical Equipment R&D Project" is now set for completion by December 31, 2026, a one-year extension from the previous December 31, 2025, due to internal renovation and pre-operational preparations. Similarly, the "Headquarters Base Construction Project" has been extended by two years to December 31, 2027, from the original December 31, 2025, owing to a longer planning, discussion, and construction period for this multi-party joint development. These extensions do not alter the projects' purpose, investment amount, or implementation entity.

The company's board of directors and supervisory committee approved these extensions on December 10, 2025. As of September 30, 2025, the R&D project had invested 17,084.19 million yuan (45.42% of its planned investment), while the headquarters project had invested 13,375.45 million yuan (88.69% of its planned investment). The company also announced revisions to its articles of association and various corporate governance documents, including those related to external investments, connected transactions, and fundraising, which will be submitted for shareholder approval.

The proposed changes to the articles of association and other governance documents include the abolition of the supervisory committee, with its functions transferred to the board's audit committee. These revisions aim to streamline governance and will not adversely affect its normal operations or stakeholder interests.
