Allwinner Technology announces director resignation, new appointment

Allwinner Technology (SZSE:300458) announced the resignation of Hou Lirong from her position as a non-independent director of the fifth board of directors due to personal reasons, effective December 11, 2025. Hou Lirong held 62,843,131 shares in the company and will comply with all relevant regulations regarding shareholding changes. The company expressed gratitude for her contributions during her tenure.

Following this, Allwinner Technology convened an employee representative assembly on December 11, 2025, where Zheng Qiong was elected as an employee representative director for the fifth board of directors. Zheng Qiong, born in 1985, joined Allwinner Technology in May 2017 and currently serves as an employee representative director. She previously held positions at China Post Group Corporation Zhuhai Branch and Eastcompeace Technology Co., Ltd. Zheng Qiong does not hold any company shares and has no affiliations with major shareholders or management.

The company's 2025 first extraordinary general meeting, held on December 11, 2025, approved several amendments to the company's governance documents, including the Articles of Association and Rules of Procedure for Shareholder Meetings. Additionally, the meeting approved the establishment of the "Incentive Fund Management Measures" and a guarantee of HK$1,000,000 for its wholly-owned subsidiary, Hong Kong Allwinner Technology Co., Ltd.
