JA Solar finalizes new board, names Jin Baofang chairman and general manager

JA Solar Technology Co., Ltd. (002459) completed its board re-election and made key leadership appointments following its 2025 fifth extraordinary general meeting and the first meeting of the seventh Board of Directors on December 8, 2025. The new seventh Board of Directors comprises nine members, including six non-independent directors (one employee representative) and three independent directors. Jin Baofang has been elected chairman, leading a board whose term will run for three years from the date of the election. The board will oversee four specialized committees: Strategy and Sustainable Development, Audit, Nomination, and Remuneration and Assessment.

The company also announced the appointment of its senior management team. Jin Baofang will serve as general manager, with Yang Aihe and Li Shaohui appointed as deputy general managers. Sun Peng will take on the role of chief financial officer, while Qin Shilong is the new board secretary. Hao Xia has been named head of internal audit, and Yuan Haisheng will serve as the securities affairs representative. All appointed senior management personnel meet the relevant legal and regulatory requirements, with their qualifications having been reviewed and approved by the company's nomination and audit committees.

Additionally, the announcement detailed the departure of members from the sixth Board of Directors and Supervisory Committee. Independent directors Zhao Yuwen, Qin Xiaolu, and Zhang Miao, having served six consecutive years, will not be re-appointed. Jia Shaohua, a director on the sixth board, will also step down. The company has ceased to have a Supervisory Committee and supervisors, with Li Yuntao, Li Jing, and Li Binbin naturally concluding their roles. None of the departing individuals held company shares, and there are no outstanding commitments.
