Independent director Li Jiaqiang resigns from Oriental Ocean board

Shandong Oriental Ocean Sci-Tech Co., Ltd. ("the company") recently announced that Li Jiaqiang, an independent director, submitted his written resignation after serving for six years, the maximum continuous term permitted by regulations. Li Jiaqiang will no longer hold any positions within the company, including his roles on related specialized committees, following his resignation. As of the announcement date, Li Jiaqiang does not hold any company shares and has no unfulfilled commitments.

Li Jiaqiang's resignation will result in the number of independent directors falling below one-third of the total board members. The proportion of independent directors on its specialized committees will also no longer meet the legal and regulatory requirement of over half, which mandates that independent directors act as conveners. However, the company confirmed this change does not lead to a lack of accounting professionals among its independent directors. According to regulations, Li's resignation will only take effect after the company's shareholders' meeting elects a new independent director.

Li Jiaqiang is committed to continue fulfilling his duties as an independent director and on the board's specialized committees until a new independent director assumes office.
