Hoperun Software's controlling shareholder pledges shares for financing

Jiangsu Hoperun Software Co., Ltd. announced that its actual controlling person, Mr. Zhou Hongwei, has pledged 2.63 million shares, representing 10.53% of his total holdings and 0.33% of the company's total share capital. The pledge, effective December 4, 2025, is for financing guarantees with the Agricultural Bank of China Limited Nanjing Chengbei Sub-branch. These pledged shares are not restricted shares and are not being used for performance compensation in a major asset restructuring or other guarantee purposes.

As of the disclosure date, Mr. Zhou Hongwei and Jiangsu Hoperun Technology Investment Group Co., Ltd. (collectively referred to as "Hoperun Investment"), hold a combined 60.32 million shares, with 45.64 million shares currently pledged, accounting for 75.67% of their total holdings and 5.73% of the company's total share capital. Of the pledged shares, 14.66 million are restricted as high-level management lock-up shares.

Within the next six months, 2.42 million shares held by Mr. Zhou Hongwei and Hoperun Investment will mature, representing 4.01% of their total holdings and 0.30% of the company's total share capital, with a corresponding financing balance of CNY 53 million. Within the next year, 5.05 million shares will mature, representing 8.37% of their total holdings and 0.63% of the company's total share capital, with a financing balance of CNY 130 million. The company states that Mr. Zhou Hongwei and Hoperun Investment have the capacity to repay the loans, with primary sources including business revenue, stock dividends, and investment income.
