Dian Diagnostics controlling shareholder pledges additional equity

Dian Diagnostics Group (SZSE:300244) recently disclosed that its controlling shareholder, Chen Haibin, has pledged an additional 8.2 million shares. This latest transaction represents 4.99% of Chen Haibin's total holdings and 1.31% of the company's total share capital. The pledge, finalized on December 4, 2025, with China Credit Trust Co., Ltd. as the pledgee, is for the purpose of repaying other secured loans and is set to mature on May 4, 2027.

Following this latest pledge, Chen Haibin's total pledged shares now amount to 73.66 million, accounting for 44.79% of his total holdings and 11.79% of the company's overall share capital. The announcement clarifies that Chen Haibin and his concerted party, Hangzhou Dian Diagnostics Holding Co., Ltd., possess the financial capacity to repay the debt, with repayment sources including salaries, bonuses, stock dividends, and other income. The company emphasized that this pledge will not materially impact its operations or corporate governance, nor will it lead to a change in actual control.

The company further stated that there is no current risk of forced liquidation or transfer of the pledged shares. Dian Diagnostics Group will continue to monitor the pledge situation and related risks, providing timely disclosures to investors. Neither Chen Haibin nor Hangzhou Dian Diagnostics Holding Co., Ltd. are involved in any non-operational fund occupation, illegal guarantees, related party transactions, or other actions that would infringe upon the interests of listed companies.
