YOFC's stake in Broadex Technologies passively diluted by equity incentives

Broadex Technologies announced that its controlling shareholder and actual controller, YOFC (Yangtze Optical Fibre and Cable Co., Ltd.), has experienced a passive dilution of its shareholding. The stake held by YOFC decreased from 19.3637% to 18.9956%, a total reduction of 0.3681 percentage points. This change was a result of Broadex Technologies implementing an equity incentive plan, which increased the company's total share capital.

The dilution occurred between August 25, 2023, and December 4, 2025. During this period, Broadex Technologies' total share capital grew from 286,020,618 shares to 291,563,478 shares. Despite the increase in total shares, YOFC's absolute shareholding remained constant at 55,384,099 shares, leading to the passive reduction in its ownership percentage.

As of the latest report, YOFC continues to hold 55,384,099 shares, with 33,384,099 being unrestricted shares (now representing 11.4500% of total capital) and 22,000,000 being restricted shares (now representing 7.5455% of total capital). The company confirmed that this change was not a result of active share reduction by the shareholder but rather a consequence of the equity incentive plan's implementation.
