Yifan pharmaceutical adjusts subsidiary guarantees amidst operational growth

Yifan Pharmaceutical has disclosed adjustments to its inter-subsidiary guarantee limits and the provision of new guarantees for its wholly-owned subsidiaries, as approved by its 2024 annual general meeting. The company transferred 150 million yuan of unused guarantee quota from Anhui Yifan Pharmaceutical Co., Ltd. to Anhui Yifan Biological Pharmaceutical Co., Ltd. (Yifan Pharmaceutical), increasing Yifan Pharmaceutical's guarantee quota from 900 million yuan to 1.25 billion yuan. As of the disclosure date, the outstanding guarantee for Yifan Pharmaceutical is 1.21 billion yuan, while Anhui Yifan Pharmaceutical Co., Ltd.'s outstanding guarantee is 0 yuan.

In line with business needs, Yifan Pharmaceutical has entered into new guarantee agreements. For Yifan Pharmaceutical, it signed a guarantee contract for 150 million yuan with China Everbright Bank Hefei Luyang Branch and a maximum guarantee of 200 million yuan with China Merchants Bank Hefei Branch. Separately, for Hefei Yifan Pharmaceutical Co., Ltd., it signed a maximum guarantee contract for 60 million yuan with Industrial and Commercial Bank of China Anhui Free Trade Pilot Zone Hefei Branch, and a maximum guarantee contract for 100 million yuan with Huishang Bank Hefei Xixi Branch. These new guarantees total 510 million yuan.

As of the report's disclosure, after deducting matured guarantees, the cumulative outstanding external guarantees by the company and its holding subsidiaries, including these new additions, amount to 4.612 billion yuan. This figure represents 54.12% of the company's net assets as audited in 2024. All guarantees are inter-guarantees between the company and its wholly-owned or holding subsidiaries.
