Xinyangfeng reshuffles board, elects employee representative director

Xinyangfeng Agricultural Technology Company Limited disclosed the resignation of Song Fan from his positions as non-independent director and vice president, effective upon the delivery of his resignation letter to the board. Song's decision stems from a company governance structural adjustment, though he will continue to hold other roles within the company. His resignation does not impact the board's quorum or the company's daily operations. As of this announcement, Song holds 573,490 shares in the company.

Following his resignation, Xinyangfeng's employee representative assembly, held on December 4, 2025, elected Song Fan as an employee representative director for the ninth board of directors. His term will commence from the date of this election and conclude at the end of the ninth board's term. This appointment ensures compliance with relevant laws and company articles of association, maintaining that the number of directors concurrently holding senior management positions and those acting as employee representatives does not exceed one-half of the total board members.
