Lens Technology independent director passes away, board reconfigures duties

Lens Technology announced the unfortunate passing of Mr. Xie Zhiming, an independent director, due to illness. The company and its board of directors expressed their deepest condolences to his family. During his tenure, Mr. Xie diligently fulfilled his duties and provided professional opinions and advice on the company's decision-making matters, including as chairman of the audit committee and chairman of the remuneration and appraisal committee. The board expressed heartfelt gratitude for his contributions.

Following Mr. Xie Zhiming's passing, the number of current board members at Lens Technology has changed from seven to six (three independent directors and three non-independent directors). While this number does not fall below the legal minimum, it is below the number stipulated in the company's articles of association.

In accordance with relevant regulations, the company will promptly initiate procedures to elect a new independent director. Until a new independent director is elected, the responsibilities will be temporarily carried out by the current independent directors, Ms. Wan Wei, Mr. Liu Yue, and Mr. Tian Hong. The company's production and operational activities are proceeding normally and will not be adversely affected. Mr. Xie Zhiming did not hold any shares in the company.
