Zotye automobile amends articles, appoints worker representative director

Zotye Automobile Co., Ltd. held its second extraordinary general meeting of 2025 on November 27, 2025. The meeting approved significant amendments to its Articles of Association, Shareholder Meeting Rules, and Board of Directors Meeting Rules with substantial majority votes, including significant support from minority shareholders. The company also updated its Independent Director Work System.

Concurrently, the company announced the resignation of Mr. Wu Donglin as a director due to a corporate governance restructuring. Following the amendments to the Articles of Association, which now mandate a worker representative director, Mr. Wu Donglin was subsequently elected as the worker representative director for the ninth board of directors. His term will run until the expiration of the ninth board's term.

Mr. Wu Donglin's resignation and subsequent re-election as a worker representative director ensure the board's composition remains compliant with regulations, particularly concerning the proportion of senior management and worker representative directors. The company confirmed that Mr. Wu Donglin holds no company shares and has no unfulfilled commitments or related party interests.
