Unisplendour International to acquire remaining 9% H3C stake

Unisplendour International, along with investors Ningbo Yongning Yinshu Venture Capital Partnership and Hefei Huaxin Mingzhu Equity Investment Partnership, will acquire a combined 9% stake in H3C from HPE Cayman. This transaction, alongside a separate 10% equity acquisition from HPE Cayman by other investors, means HPE Cayman will no longer hold H3C equity. Unisplendour International's stake in H3C will increase from 81% to 87.98% following both transactions.

Unisplendour International will acquire 503,230 H3C shares, representing approximately 5.19% of H3C's equity, for $370,372,247.70. Ningbo Yongning and Hefei Huaxin will acquire 190,220 and 180,000 shares, respectively, for $140,000,017.80 and $132,478,200.00. The acquisition price per share for all parties is $735.99. The transaction requires approval from Unisplendour Corp's shareholders and relevant government bodies, including the Ministry of Commerce and the National Development and Reform Commission.
