Tianshan Cement board approves financial services, significant related party deals

Tianshan Cement's board has confirmed that China National Building Material Group Finance Co., Ltd. (Finance Company) holds valid licenses and operates with sound internal controls, meeting all regulatory indicators as of September 30, 2025. The Finance Company reported total assets of 3,230,327.83 million yuan and a net profit of 6,562.81 million yuan for January-September 2025. Tianshan Cement's deposits with the Finance Company were 494,749.73 million yuan as of September 30, 2025, with a comprehensive credit line of 1,200,000 million yuan.

The company plans to sign a financial services agreement with the Finance Company for deposits, loans, and other services. The agreement sets daily deposit balance limits of up to 780,000 million yuan, 830,000 million yuan, and 880,000 million yuan for 2026, 2027, and 2028, respectively. Comprehensive credit limits will be up to 1,210,000 million yuan, 1,230,000 million yuan, and 1,280,000 million yuan for the same periods, with settlement services provided free of charge.

Additionally, Tianshan Cement forecasts significant related party transactions for 2026, including 2,750,000 million yuan in purchases and services from China National Building Material Group and its subsidiaries. The board also approved an increase in the 2025 related party transaction estimates, including additional sales and services to Gansu Qilianshan Cement Group Co., Ltd. for up to 40,000 million yuan, and increased purchases from Beijing Jinyu Group Co., Ltd. for up to 1,000 million yuan and Gansu Shangfeng Cement Co., Ltd. for up to 200 million yuan.
