Shenzhen Kaifa Technology to reappoint auditor, revise articles of association

Shenzhen Kaifa Technology plans to re-appoint Da Xin Certified Public Accountants (Special General Partnership) as its auditor for the 2025 financial year, covering financial reports and internal control audits. This decision was approved by the board on November 24, 2025, and will be submitted to shareholders for approval. Da Xin, established in 1985 and headquartered in Beijing, has extensive experience in auditing public companies, with 221 audit clients in 2023, including 145 in the same industry as Shenzhen Kaifa Technology.

Concurrently, the company is revising its Articles of Association, affecting registered capital and governance. The registered capital increased from 1,560,587,588 yuan to 1,571,680,518 yuan due to the exercise of stock options from the 2022 incentive plan. The revisions include updates to shareholder rights, board structure, and operational procedures to align with new regulations and enhance corporate governance.

These amendments encompass changes to definitions of key positions, expansion of decision-making authority for the board, and clearer guidelines for related party transactions and financial assistance. The updated articles also include new provisions for an audit committee and a comprehensive framework for independent director responsibilities, ensuring stronger oversight and compliance.
