Gree Electric elects new employee representative director

Gree Electric Appliances of Zhuhai (SZSE:000651) held an employee representative congress on November 24, 2025, electing Shao Liguo as the employee representative director for the company's thirteenth board of directors. Shao, who holds 202,287 shares in the company and currently serves as the head of the enterprise management department, is a senior engineer with a master's degree. His term commenced immediately and will last until the conclusion of the thirteenth board's tenure.

The election followed the company's second extraordinary general meeting of shareholders held on the same day, where several key proposals were approved. Shareholders, representing 41.7868% of the company's total voting shares, voted on amendments to the Articles of Association and various governance policies, including the Rules of Procedure for Shareholders' Meetings, Rules of Procedure for Board Meetings, and the Independent Director Work System.

All resolutions passed with overwhelming support, including the 2025 interim profit distribution plan. The meeting confirmed that the number of directors simultaneously holding senior management positions and those acting as employee representatives does not exceed one-half of the total number of directors on the thirteenth board.
