Phoenix Shipping appoints new director, re-engages auditing firm

Chang Jiang Shipping Group Phoenix announced the appointment of Ms. Yang Hui as a non-independent director to its ninth board of directors. The decision was made at an extraordinary general meeting in 2025, held on November 20, 2025, following a proposal approved by the board on November 4, 2025. Ms. Yang Hui, born in October 1986, holds a bachelor's degree and is a certified public accountant with legal professional qualifications. Her professional background includes roles in accounting and financial management at various companies, including Shanxi Huashengrong Coal Mine Co., Shanxi Gaoke Huajie Optoelectronic Technology Co., and Shanxi Kangbao Biological Products Co. She previously served as a supervisor for Phoenix Shipping from May 17, 2024, to October 30, 2025.

The extraordinary general meeting also approved the re-engagement of the auditing firm. Shareholders passed the proposal "Concerning the Re-engagement of the Auditing Firm" with 97.7256% of votes in favor. The meeting, convened by the board of directors, involved both on-site and online voting, with 333 shareholders representing 20.3998% of the company's total shares with voting rights participating. The legal opinion issued by Grandall Law Firm (Wuhan) confirmed that the meeting's convocation, procedures, and resolutions were in compliance with relevant laws and regulations.
