Naura Technology Group unveils 2025 stock option incentive plan

Naura Technology Group's 2025 stock option incentive plan, advised by China Securities Credit Suisse Securities, aims to motivate core talent by granting 10,465,975 stock options. These options, representing approximately 1.4446% of the company's total share capital, will allow beneficiaries to purchase A-shares at an exercise price of CNY 235.74 per share. The exercise price was determined by taking 60% of the average trading price of the company's shares on the trading day before the announcement of the draft plan, aligning with regulatory guidelines.

The plan, with an effective period of 84 months, includes a 24-month waiting period before options become exercisable in four annual installments of 25% each. Eligibility is contingent on satisfying specific company and individual performance targets for 2026-2029, including growth in operating revenue, R&D investment as a percentage of operating revenue, patent application volume, and profitability metrics. The incentive plan is designed to bind employee interests with shareholder value, fostering long-term sustainable development and competitiveness.

The total estimated cost of the stock options is CNY 213,076.79 million, to be amortized from 2025 to 2030, with CNY 5,806.10 million in 2025 and CNY 68,362.14 million in 2026. This incentive is expected to enhance operational efficiency and mitigate agency costs, contributing to increased company performance that outweighs the associated expenses. The plan has received preliminary approval from Beijing Electronics Holdings and will require final approval from Naura's general meeting of shareholders.
