Aerospace CH UAV subsidiary forms new low-altitude tech joint venture

Aerospace CH UAV announced its wholly-owned subsidiary, Rainbow Unmanned Aerial Vehicle Technology Co., Ltd. (Rainbow Company), will invest 393,410,000 yuan in non-monetary assets to establish Chongqing Saihong Technology Co., Ltd. (Chongqing Saihong). These assets include intellectual property from a previously funded tilt-rotor UAV system project, valued at 45,018,900 yuan. Rainbow Company will initially hold approximately 43.6438% of Chongqing Saihong’s equity, which will later be reduced to no less than 34% through a share transfer. The non-monetary assets were valued at 393,410,000 yuan by Beijing Tianjian Xingye Asset Appraisal Co., Ltd., representing a 358.12% increase using the income approach.

The new joint venture will have a registered capital of 901,410,000 yuan. Chongqing Saihang Zhixing Technology Co., Ltd. will contribute 500,000,000 yuan in cash for a 55.4687% stake, while Chongqing Duliang Urban Construction High-Tech Group Co., Ltd. will contribute 8,000,000 yuan in cash for a 0.8875% stake. The transaction, approved by the company's Board of Directors on November 21, 2025, requires approval from state-owned asset regulatory authorities and shareholders.

This strategic investment aims to leverage Rainbow Company's UAV technology, expand application scenarios, and enhance market competitiveness in the low-altitude economy. The move is expected to improve asset utilization, commercialize cutting-edge technologies, and contribute to future performance without negatively impacting the company’s financial health or shareholder interests.
