Longshine Technology Group to re-elect board, hold shareholder meeting

Longshine Technology Group (SZSE:300682) announced the re-election of its fifth board of directors, comprising eight members: five non-independent directors (including one employee representative) and three independent directors. The fourth board of directors' 35th meeting on November 20, 2025, approved the nominations. Non-independent director candidates include Xu Changjun, Peng Zhiping, Weng Chaowei, and Zhu Chao. Independent director candidates are Yao Lijie, Li Xiao, and Deng Yilu. The independent director candidates must be approved by the Shenzhen Stock Exchange before being presented to shareholders.

A Second Extraordinary General Meeting for 2025 will be held on December 9, 2025, to vote on the new board and other proposals. Key proposals include remuneration standards for the fifth board of directors, with independent directors set to receive an annual allowance of RMB120,000 before tax. Additionally, the meeting will consider revisions to the company's articles of association, shareholder meeting rules, board of directors meeting rules, independent director work system, related party transaction management system, external guarantee management system, external investment management system, and capital raising management measures.

The board also approved revisions to several internal governance documents, including the work rules for the Strategic, Nomination, Audit, and Remuneration & Assessment Committees, as well as the work rules for the board secretary, subsidiary management system, information disclosure management measures, insider information registrant management system, regulations on related party fund transfers, and major information internal reporting system. These changes aim to enhance corporate governance and streamline operations.
