Beijing KELAN Software: Controlling shareholder's stake cut by over 4%

Beijing KELAN Software Systems Co., Ltd. announced on November 20, 2025, that its controlling shareholder, Mr. Wang Anjing, and his concert party, Ningbo Kelan Shenghe Investment Management Partnership, experienced a cumulative reduction of 21,758,183 shares. This reduction, resulting from court rulings, decreased their combined equity interest from 14.55% to 10.0080%. The company clarified that this change will not alter the company's control or negatively impact its governance and operations.

The reduction occurred through several court-ordered transfers and judicial auctions, as detailed in multiple announcements between June 9, 2025, and October 30, 2025. Following these transactions, Mr. Wang Anjing and Ningbo Kelan Shenghe collectively hold 47,883,801 shares.

Before this change, Mr. Wang Anjing held 43,305,748 shares (9.05%) and Ningbo Kelan Shenghe held 26,336,236 shares (5.50%). After the change, their holdings are 26,644,420 shares (5.5688%) for Mr. Wang Anjing and 21,239,381 shares (4.4392%) for Ningbo Kelan Shenghe.
