Zhongda Leader establishes plastic gearbox JV, wholly-owned Japan subsidiary

Ningbo Zhongda Leader Intelligent Transmission (Zhongda Leader) is establishing a joint venture, Foshan Tianyuan Transmission Technology Co., Ltd. (tentative name), with related parties, including its actual controller Cen Guojian, Li Qing, Liang Guangwei, and Beijing Qunyu Zhizao Technology Co., Ltd. The joint venture will have a total investment of 8 million yuan, with Zhongda Leader contributing 3.2 million yuan for a 40% stake. The new entity will focus on R&D, production, and sales of plastic gearboxes and related products.

Concurrently, Zhongda Leader announced the successful registration of its wholly-owned Japanese subsidiary, Zhongda Leader (Japan) Intelligent Transmission Co., Ltd., in Kawagoe City, Saitama Prefecture. Established on November 10, 2025, with a registered capital of 30 million yen, the Japanese subsidiary will engage in the manufacturing, sales, import, and export of reducer motors, reducers, drivers, and precision components, along with related technical R&D and consulting services.

Both initiatives align with Zhongda Leader's strategic goals to enhance its core competitiveness, address market demands for high-precision plastic gearboxes, and expand its international presence. The company emphasized that the joint venture, while a related party transaction, is conducted under fair principles and is within the board's approval authority, not constituting a major asset restructuring.
