Guosheng Securities announces controller change as Jiangxi SASAC takes over

Guosheng Securities announced a gratuitous equity transfer involving its controlling shareholder, Jiangxi Provincial Communications Investment Group Co., Ltd. (Jiangxi Jiaotou), and a change in its actual controller. The Jiangxi Provincial Department of Transportation plans to transfer its 90.00% equity in Jiangxi Jiaotou to the Jiangxi Provincial State-owned Assets Supervision and Administration Commission (Jiangxi SASAC). This will result in Jiangxi Jiaotou's controlling shareholder becoming Jiangxi SASAC, and the company's actual controller changing from the Jiangxi Provincial Department of Transportation to Jiangxi SASAC.

Despite these changes, Jiangxi Jiaotou will remain the controlling shareholder of Guosheng Securities, maintaining its direct and indirect shareholding percentages. Jiangxi Jiaotou directly holds 493,923,394 shares, representing 25.52% of Guosheng Securities' total share capital, and indirectly holds 78,500,053 shares, or 4.06%, through Jiangxi Gan Yue Expressway Co., Ltd.

The company confirms this transfer adheres to relevant laws and regulations and is not expected to materially impact Guosheng Securities' governance structure or normal business operations.
