Oriental Nations Corp amends governance, appoints worker representative director

Business-Intelligence of Oriental Nations Corporation (SZSE:300166) held its 2025 third extraordinary general meeting of shareholders on November 18, 2025, where shareholders approved several key resolutions. The meeting saw the passage of amendments to the "Articles of Association," "Rules of Procedure for Shareholder Meetings," "Rules of Procedure for Board Meetings," "Independent Director Work System," "Director Remuneration Management System," "Related Party Transaction Decision-Making System," "External Guarantee Management System," "External Investment Management System," "Cumulative Voting System Implementation Rules," and "Wealth Management System." All these amendments were approved as special or ordinary resolutions.

The board also announced the resignation of Mr. Xiao Baoyu as a non-independent director and member of the remuneration and assessment committee. This change facilitates a board structure optimization, including the addition of a worker representative director. Mr. Shi Wenhong was elected as the new worker representative director and a member of the remuneration and assessment committee, maintaining compliance with regulatory requirements regarding board composition.

The resolutions were passed with substantial majorities, reflecting broad shareholder agreement on the proposed governance enhancements and leadership changes.
