Humon Smelting proposes major governance shake-up, including supervisory board abolition

Shandong Humon Smelting's board of directors met on November 14, 2025, to approve several key proposals. The board unanimously agreed to abolish the supervisory board and amend the company's articles of association accordingly. This change, along with revisions to the Shareholders' Meeting Rules and Board of Directors' Meeting Rules, will be submitted for approval at an upcoming Extraordinary General Meeting.

The board also approved the nomination of two new independent directors, Zhong Meirui and Chen Zhiwu, to replace Huang Jianbai and Jiao Jian, who are stepping down after six years of service. Zhong Meirui has committed to obtaining the necessary independent director qualification certificate, while Chen Zhiwu has already obtained it. Their appointments are subject to shareholder approval and Shenzhen Stock Exchange review.
