New Industries Biomedical shareholders approve governance revisions

Shenzhen New Industries Biomedical Engineering Co., Ltd. (SZSE:300832) convened its first extraordinary general meeting of shareholders on November 13, 2025. With 253 shareholders and authorized representatives present, representing 71.6482% of total voting shares, the meeting, held both physically and online, saw unanimous approval for all proposals.

Key resolutions included the approval of amendments to the "Articles of Association" and other governance documents. The resolution on "Amendments to the Articles of Association" passed with 562,905,750 votes (99.9916%) in favor, 45,301 votes (0.0080%) against, and 2,000 abstentions (0.0004%). Amendments to the "Rules of Procedure for Shareholder Meetings" also received 562,905,750 votes (99.9916%) in favor.

The meeting also approved revisions to the "Rules of Procedure for Board Meetings," "Independent Director Work System," "External Guarantees Management System," "External Investment Management System," "Connected Transactions Decision-Making System," "Profit Distribution Management System," "Commitment Management System," and "Fundraising Management Measures." All these amendments were passed by a two-thirds majority of the voting rights held by shareholders present.
