Centre Testing International Group transitions board, revamps governance

Centre Testing International Group (SZSE:300012) announced resolutions from its Sixth Board of Directors' 28th meeting, held on November 10, 2025, detailing a comprehensive board transition and governance restructuring. The board approved the nomination of four non-independent directors – Mr. Wan Feng, Mr. Shentu Xianzhong, Mr. Qian Feng, and Mr. Qi Guancheng – and three independent directors – Mr. Cheng Haijin, Mr. Liu Zhiquan, and Ms. Yang Fang – for the Seventh Board of Directors, with terms commencing upon shareholder approval. The annual compensation for independent and external non-independent directors will be a fixed allowance of 140,000 yuan, with an additional 20,000 yuan for committee chairs and 10,000 yuan for committee members.

Crucially, the company will adjust its governance structure, eliminating the Board of Supervisors and transferring its responsibilities to the Board of Directors' Audit Committee. This change necessitates revisions to the Articles of Association and other related policies, which will be submitted for shareholder approval at the Extraordinary General Meeting on November 28, 2025. Mr. Zeng Sunli, an independent director whose term will conclude after six years, will step down from all company positions.

These changes aim to enhance the company's governance and operational efficiency in alignment with the latest regulatory requirements, including the new "Company Law of the People's Republic of China." The upcoming shareholder meeting will also address revisions to the rules of procedure for the General Meeting, Board of Directors, related party transactions, independent director work systems, external guarantee management, and investment decision-making processes.
