Huolinhe Opencut Coal Industry names new independent director

Huolinhe Opencut Coal Industry announced on November 5, 2025, the resolution to elect Zhang Qiping as an independent director candidate for the company's Eighth Board of Directors. This follows the Board's decision on October 27, 2025, to relieve Han Fang from his duties as an independent director. The nomination of Zhang Qiping, who has a background in engineering and significant experience within the State Grid Corporation, was recommended by the Nomination Committee and approved by the Board.

Zhang Qiping, born in 1959, holds a doctorate in engineering and has previously served as chief engineer for East China Grid Company Limited and as deputy secretary of the Party Group for State Grid Fujian Electric Power Company Limited. He is currently an independent director at Shanghai Electric Power Co., Ltd. He has confirmed no conflicts of interest or relationships that would impair his independence and meets the necessary qualifications for the role.

Zhang Qiping has not yet obtained the independent director qualification certificate recognized by the Shenzhen Stock Exchange but has committed to actively enroll in the latest training session. His appointment is contingent upon the Shenzhen Stock Exchange's review and no objection, after which it will be submitted to the company's shareholders for approval at the fifth extraordinary general meeting in 2025.
