Shanghai Liangxin Electrical amends shareholder meeting notice

Shanghai Liangxin Electrical Co., Ltd. (SZSE:002706) released a correction to its notice for the second extraordinary general meeting of shareholders in 2025 (Announcement No.: 2025-065), originally published on October 25, 2025. The corrections address specific details within the "Particulars of Operations for Online Voting" (Attachment 1) regarding how repeat votes on general and specific proposals are handled. The updated instruction clarifies that if a shareholder votes on specific proposals first, and then on the general proposal, the specific proposal votes will prevail, and the general proposal will apply to unvoted items. Conversely, if the general proposal is voted on first, then specific proposals, the general proposal will apply to unvoted items while the specific proposal votes will prevail for those items.

Additionally, the company rectified the omission of Attachment 2, which includes the "Proxy Form." The corrected announcement (Announcement No.: 2025-067) now explicitly includes this proxy form, enabling shareholders to formally appoint representatives for the meeting. These adjustments are aimed at ensuring accuracy and clarity for investors ahead of the meeting scheduled for November 11, 2025.

The extraordinary general meeting will be held both in-person and via online voting through the Shenzhen Stock Exchange systems, with the equity registration date set for November 6, 2025. The agenda includes proposals for revisions to the company's governance documents, such as the articles of association, shareholder meeting rules, board meeting rules, related-party transaction management, independent director system, external guarantee management, external investment management, information disclosure management, and capital raising management.
