Huolinhe Opencut Coal to appoint new independent director

Inner Mongolia Huolinhe Opencut Coal Industry Co., Ltd. announced the by-election of an independent director for its eighth board of directors. The board resolved to relieve Mr. Han Fang of his duties and proposed Mr. Zhang Qiping as the new independent director. This proposal will be submitted to the fifth extraordinary general meeting of 2025 for approval. Mr. Zhang Qiping is a doctor of engineering and previously held senior positions, including chief engineer at East China Power Grid Co., Ltd. and deputy general manager at State Grid Fujian Electric Power Co., Ltd. He currently serves as an independent director at Shanghai Electric Power Co., Ltd.

The company has extended the date of the fifth extraordinary general meeting from November 12, 2025, to November 14, 2025, to incorporate the additional proposal for the independent director's election. This extension and addition were made at the request of the controlling shareholder, China Power Investment Corporation Montagne Energy Group Co., Ltd., which holds 55.77% of the company's shares. Mr. Zhang Qiping will assume his role upon approval from the general meeting and after his qualifications are verified by the Shenzhen Stock Exchange.

The original equity registration date for the meeting, November 7, 2025, remains unchanged. The by-election of Mr. Zhang Qiping is contingent on the approval of the resolution to relieve Mr. Han Fang from his independent director duties.
