DBG Technology to acquire European EMS provider All Circuits S.A.S.

DBG Technology announced a private placement to acquire All Circuits S.A.S. (AC Company) and 0.003% of TIS Circuits SARL, with total proceeds not exceeding 1,032.9448 million yuan. This acquisition includes a cash payment of 732.9448 million yuan for the equity, with the remainder allocated to supplement working capital. The acquisition of AC Company, headquartered in France and an EMS provider specializing in automotive electronics, aims to broaden DBG Technology’s market reach in Europe, North America (Mexico), and Africa (Tunisia).

The transaction is a strategic move to integrate resources, with AC Company’s expertise in automotive electronics complementing DBG Technology’s existing operations across consumer electronics, network communications, and new energy. The acquisition follows successful overseas expansion into India, Vietnam, and Bangladesh. The company anticipates enhanced operational efficiency and profitability through shared production orders and flexible manufacturing.

DBG Technology conducted a re-evaluation of AC Company's equity, with the latest valuation as of December 31, 2024, at 723.7317 million yuan. The re-evaluation ensures the fairness and reasonableness of the transaction price. Post-acquisition, DBG Technology expects to consolidate AC Company’s financials, with AC Company’s management expenses for May-June 2025 at 29.5521 million euros.
