Compass Technology ends 2022 private share offering application

Beijing Compass Technology Development Co., Ltd. announced on October 31, 2025, that it has terminated its 2022 non-public offering of shares and withdrawn the associated application documents. This decision was approved during the 14th board of directors' 11th meeting. The company had initially approved the A-share issuance plan on May 16, 2022.

The Shenzhen Stock Exchange accepted the application on August 16, 2022, and subsequently issued an inquiry letter on August 29, 2022. The company and its intermediaries had been addressing these inquiries and updating relevant documents. Over the past three years, the company has held multiple board, supervisory, and shareholder meetings to adjust and extend the validity of the offering plan and related authorizations.

The termination follows comprehensive consideration of the company's internal and external environment and strategic goals, with no material adverse impact on current operations, and no harm to shareholders' interests anticipated.
