Zotye Automobile elects new board of directors for ninth term

Zotye Automobile Co., Ltd. held its first extraordinary general meeting of shareholders for 2025 on October 29, 2025, where key resolutions regarding the election of its ninth board of directors were passed. The meeting, which combined on-site and online voting, saw a total of 507 shareholders representing 1,458,601,741 shares, or 28.9259% of the company's total voting shares, participate. All proposed resolutions were passed without any objections.

The meeting successfully elected six non-independent directors: LEEI JIAN, Li Lizhong, Lin Longhua, Xu Mingzhe, Wang Yian, and Wu Donglin. For example, LEEI JIAN's election received 1,421,737,574 votes, representing 97.47% of the total effective votes. Additionally, three independent directors, Wang Yanming, Cui Xiaozhong, and Ma Yanhong, were also elected. Wang Yanming's election garnered 1,400,951,123 votes, or 96.05% of the effective votes.

The newly elected directors will serve from October 29, 2025, until October 28, 2028. The company confirmed that the meeting's convening, procedures, and resolutions comply with relevant laws, regulations, and the company's articles of association, affirming the legal validity of the decisions made.
