Westone Information Industry reviews Q3, amends governance documents

Westone Information Industry's board of directors held its ninth meeting of the eighth session on October 27, 2025, approving the company’s 2025 third-quarter report. The board also passed resolutions to revise several key governance documents, including the "General Manager Work Rules," "Board of Directors Audit Committee Work System," "Insider Information Management System," "Information Disclosure Management System," and "Internal Audit System." All resolutions received unanimous approval from the nine participating directors.

Separately, a temporary shareholders’ meeting on the same day approved revisions to the "Articles of Association," "Board of Directors Rules of Procedure," "Shareholders' Meeting Rules of Procedure," and "Related Party Transaction System." These proposals were passed as special resolutions, requiring two-thirds approval from attending shareholders. Total attendees for the shareholders' meeting represented 37.2937% of voting shares, with 436 shareholders participating through both in-person and online voting.

Additionally, the company announced that Mr. Zhou Jun resigned as a director due to work reasons but will continue as deputy general manager. Ms. Chen Lan was appointed as the new employee representative director, with her term lasting until the end of the eighth session of the board. Ms. Chen holds 57,900 shares in the company.
