Yinbang Clad Material's controlling shareholder pledges all convertible bonds

Yinbang Clad Material (SZSE:300337) announced that its controlling shareholder and actual controller, Mr. Shen Jiansheng, has pledged 950,260 convertible bonds. This transaction represents 100% of his current convertible bond holdings and 12.11% of the company's total outstanding convertible bonds. The pledge was executed on October 23, 2025, with Bohai International Trust Co., Ltd. for personal financing purposes.

Following this pledge, all of Mr. Shen Jiansheng’s 950,260 convertible bonds are now pledged, accounting for 100% of his holdings and 12.11% of the total company convertible bond balance.

The company stated that the pledged convertible bonds do not involve non-operational fund occupation or illegal guarantees. The pledge risk is deemed controllable and is not expected to adversely affect the company's production, operations, or governance.
