Guomai Technologies shareholder donates 6.3m shares to Xiamen University

Fujian Guomai Group, a major shareholder of Guomai Technologies, has announced a donation of 6.3 million company shares to the Xiamen University Education Development Foundation. This donation represents 0.63% of Guomai Technologies' total share capital and aims to support Xiamen University's reforms in education and technology talent, fostering its development into a world-class institution. The shares, sourced from private placements and increased holdings, are unrestricted circulating shares.

Upon completion of the transfer, the Xiamen University Education Development Foundation will hold the associated rights, with the option to retain the shares or convert them into funds to support the university's development after satisfying regulatory holding periods. The donation is not considered a connected transaction and does not involve any related parties between Guomai Technologies, its shareholders, and the foundation.

This donation will not alter the company's controlling shareholder or actual controller, nor will it impact the corporate governance structure or ongoing operations of Guomai Technologies. Fujian Guomai Group confirmed that all prior commitments regarding share reductions have expired and were adhered to.
