Talkweb revises articles, delays projects, enhances governance

Talkweb Information System (SZSE:002261) announced a revision of its articles of association, approved by its board on October 23, 2025. Key changes include replacing "supervisors" and "supervisory board" with "audit committee members" and "audit committee" respectively, and "shareholders’ meeting" with "shareholder meeting." These updates align with the Company Law, the Listing Rules of the Shenzhen Stock Exchange (2025 Revised Edition), and the company’s operational realities.

Concurrently, the company announced delays in several fundraising projects due to social and macroeconomic factors, and a strategic shift towards AI. Projects like the "Smart Cloud Solutions R&D" and "Cornerstone Research Institute" are now set for completion by December 31, 2027, while the "Sales and Service System Construction" and "Industry Release based on HarmonyOS R&D" projects are extended until December 31, 2026. These adjustments aim to optimize resource allocation and strengthen oversight of fundraising utilization.

Additionally, Talkweb is enhancing its governance by dissolving the supervisory board and transferring its responsibilities to the audit committee. This move is supported by newly adopted or revised management policies, including updated rules for information disclosure, related party transactions, external investments, and internal audit. The company also confirmed an increase in the implementing entities for certain fundraising projects.
