TongFu Microelectronics' controlling shareholder to reduce stake

Nantong Huada Microelectronics Group Co., Ltd. ("Huada Group"), the controlling shareholder of TongFu Microelectronics, currently holds 300,344,715 shares, representing 19.79% of the company's total share capital. Huada Group intends to reduce its holdings by no more than 15,175,969 shares, or 1% of the company's total share capital, through concentrated bidding.

The reduction will occur within three months, starting 15 trading days after the announcement's release, specifically from November 10, 2025, to February 7, 2026. The selling price will be determined by market prices at the time of the transaction. The primary reason for this reduction is to meet Huada Group's operational and management needs.

Huada Group has confirmed that the shares to be sold originated from pre-IPO holdings and that the planned reduction will not alter the company's controlling shareholder or actual controller, nor will it impact the company's governance structure or ongoing operations.
