Kingkey Smart Agriculture completes significant share transfer to Zhonghengtong

Kingkey Group has successfully transferred 26,515,000 unrestricted shares of Shenzhen Kingkey Smart Agriculture Times Co., Ltd. to Shenzhen Zhonghengtong Private Securities Investment Fund Management Co., Ltd. The transfer, priced at 16.06 yuan per share, amounted to a total of 425,830,900 yuan. This transaction represents 5.00% of the company's total share capital.

Following the completion of the transfer on October 15, 2025, Zhonghengtong now holds 5.00% of the company's shares, becoming a 5% or more shareholder. Kingkey Group and its concerted parties collectively hold 275,640,625 shares, representing 51.98% of the company's total share capital. Kingkey Group remains the controlling shareholder, and Mr. Chen Hua remains the de facto controller.

The transfer ensures that Zhonghengtong will not reduce its holdings for 12 months from the registration date. The cumulative pledged shares of Kingkey Group and its concerted parties now stand at 266,634,360 shares, representing 96.73% of their total holdings and 50.28% of the company's total share capital.
