Goldwind provides substantial guarantees for South African wind projects

Goldwind Technology will provide two parent company guarantees for its wholly-owned subsidiary Goldwind International Holdings (Hong Kong) Limited and its controlled subsidiary Goldwind New Energy South Africa Proprietary Limited. These guarantees cover performance and default compensation liabilities under wind farm construction and long-term service agreements with Ummbila Beta SPV and Seriti Green Asset Management Proprietary Limited.

The guaranteed amounts are 1,322,821,514 yuan and 76,363,393 yuan, respectively. These total 3.63% of the company's 2024 audited net assets. The guarantees are effective from the signing date of October 13, 2025, until all responsibilities and obligations under the agreements are fulfilled. The board has approved a total guarantee limit of 8 bn yuan and a letter of guarantee limit of 3 bn yuan for South African subsidiaries with debt-to-asset ratios of 70% or higher.

As of the latest report, Goldwind International has assets totaling 25,946,111,579.84 yuan and liabilities of 19,313,271,697.38 yuan as of August 31, 2025. Goldwind New Energy South Africa reported negative net assets of -242,682,971.14 yuan with total assets of 2,716,493,043.97 yuan and liabilities of 2,959,176,015.11 yuan as of the same date. The combined external guarantee balance for the company and its subsidiaries, after these transactions, will be 2.552 bn yuan, representing 6.62% of the latest audited net assets.
